Written Resolutions

S.288

Written resolutions are a way of avoiding a s/h meeting as all resolutions (ORs and SRs) can be passed via WR.

Easier than getting all s/h in a room on the same day, and compared to consent for SN. 

If statute requires display it will stipulate can send the necessary documents with or separate from WR rather than displaying for 15 days beforehand at registered office. 

When can't you use WR

S.288(2)(a) - cannot be used…
